Terms of service
The terms that govern use of Azina365.
These terms apply to the Azina365 website, application and associated services provided by Ciphercom Ltd, together with any applicable customer agreement.

1. Agreement to these terms
By accessing or using Azina365, you agree to these terms on your own behalf or on behalf of the organization you represent. If your organization has a separate written agreement with Ciphercom Ltd, that agreement will govern where it conflicts with these public terms.
2. Description of the service
Azina365 provides software capabilities for supported member, lending, savings, accounting, payment, reporting and related organizational workflows. Ciphercom Ltd is a technology provider. Unless expressly agreed otherwise, Ciphercom Ltd does not itself accept deposits, issue loans, provide regulated financial advice or act as the customer organization.
3. Accounts and authorized users
You must provide accurate account information, protect your credentials and use only accounts you are authorized to access. Customer organizations are responsible for appointing administrators, managing user roles and promptly removing access that is no longer appropriate.
You must notify Ciphercom Ltd promptly if credentials, devices or accounts may have been compromised.
4. Customer responsibilities
Customer organizations remain responsible for their financial products, member relationships, lending decisions, regulatory obligations, source data, approvals and instructions issued through the platform. Customers must ensure they have a lawful basis and appropriate notices for personal information placed in Azina365.
5. Plans, fees and payment
Applicable subscription fees, included capabilities and optional charges are described in the selected plan, order or customer agreement. Taxes, integration work, migration, training and items marked “on request” may be charged separately. Failure to pay amounts when due may result in restricted or suspended access after appropriate notice.
6. Acceptable use
You must not misuse Azina365, attempt unauthorized access, interfere with service operation, upload malicious content, evade security controls, scrape or probe the service without permission, violate another person’s rights, or use the platform for unlawful or fraudulent activity.
7. Intellectual property
Azina365, its software, branding, documentation and service materials are owned by Ciphercom Ltd or its licensors. Customers receive a limited, non-exclusive right to use the subscribed service during the applicable term. No ownership of the platform or its underlying intellectual property is transferred.
Customers retain their rights in the information they lawfully provide to the service.
8. Data and privacy
Personal information is handled as described in the Azina365 Privacy Notice, applicable customer agreements and law. Customer organizations control the purposes for which their member or employee information is used and authorize Ciphercom Ltd to process it to provide the service.
9. Third-party services
Supported integrations may depend on mobile-money providers, banks, SMS services, hosting providers or other third parties. Their availability, terms and fees can apply separately. Ciphercom Ltd is not responsible for outages or actions entirely outside its reasonable control, but will provide reasonable assistance for supported integrations.
10. Service availability and changes
Ciphercom Ltd works to maintain a reliable service but does not guarantee uninterrupted availability. Maintenance, security events, connectivity failures and third-party disruptions may affect access. Features may be improved, replaced or discontinued with appropriate consideration for active customer commitments.
11. Warranties and disclaimers
Azina365 is provided with the commitments expressly stated in the applicable agreement. To the extent permitted by law, implied warranties not stated in that agreement are excluded. Reports, calculations and decision-support outputs must be reviewed by appropriately authorized customer personnel.
12. Limitation of liability
To the extent permitted by law, neither party will be liable for indirect, special, incidental or consequential loss arising from use of the service. Any additional limits, exclusions or remedies in a signed customer agreement take precedence. Nothing in these terms excludes liability that cannot lawfully be excluded.
13. Suspension and termination
Access may be suspended to protect the service, respond to unlawful use, address a serious security risk or manage overdue fees. Subscriptions may be terminated according to the applicable plan or agreement. Customer data export, retention and deletion after termination are handled under the applicable agreement and legal requirements.
14. Changes to these terms
These terms may be updated as Azina365 or applicable requirements change. The revised date will be posted here. Material changes may also be communicated through customer channels.
15. Governing law and contact
These terms are governed by the laws of the Republic of Kenya, subject to any dispute process in an applicable customer agreement.
